These Terms and Conditions govern the use of services provided by Vertical Farming Directory, operated by:

By purchasing a subscription, registering an account, or using any paid services, you agree to these Terms and Conditions.
1. Scope of Services
Vertical Farming Directory provides digital listing, visibility, content publication, and promotional services within the vertical farming industry ecosystem.
Services may include but are not limited to:
- Company profile listings
- Publication of articles or press releases
- Visibility within the directory
- Referral and discovery opportunities
- Premium listing features
- External links and redirects
The service focuses on industry positioning and exposure and does not guarantee specific traffic, leads, or sales outcomes.
2. Subscription Model
All paid services are provided as subscription-based services.
By purchasing a subscription, the customer agrees to the defined service period stated in the invoice or subscription agreement.
Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with Section 5.
3. Pricing and Price Changes
Prices are subject to change at any time for future subscription periods.
Existing customers may benefit from legacy pricing during an active subscription period. If a subscription is cancelled, legacy pricing no longer applies.
If the customer chooses to rejoin at a later date, the current pricing at that time will apply.
4. Payment Terms
These Services are provided exclusively to business customers (B2B). Standard commercial practices applicable within the European Union shall apply unless otherwise explicitly agreed in writing between the parties.
Any deviations from these standard terms must be agreed upon in writing as part of individual service agreements or negotiated contract terms.
Invoices are payable within the payment period specified on the respective invoice.
The provision of services is considered active and fulfilled for the duration of the agreed subscription period, regardless of the actual level of usage by the customer.
Non-use or partial use of the Services does not release the customer from their payment obligations.
Where automatic billing has been disabled at the customer’s request, the customer remains fully responsible for ensuring timely manual payment of all invoices.
The service provider reserves the right to suspend access to the Services in the event of overdue payments until outstanding amounts have been settled.
5. Cancellation Policy
Cancellation must be submitted in writing via email to:
Cancellation must be received at least 14 days prior to the subscription renewal date.
If cancellation is not received within this timeframe, the subscription will automatically renew for the next billing period.
There is no self-service cancellation functionality. All cancellation requests must be communicated directly via email.
6. Service Access and Downgrade
At the end of a subscription period or upon cancellation:
- Premium features will expire
- Company profile may revert to a standard listing
- Contact details and address information may no longer be publicly displayed
- Access to premium tools and visibility features will be removed
Published articles or editorial content may remain online as part of the directory archive.
7. Communication
Subscription confirmations, invoices, and service-related communication may be sent via email.
In cases of individually agreed services or manual subscription setup, subscription access links may be provided via email.
Customers are responsible for maintaining valid contact information.
8. Limitation of Liability
The service is provided on a best-effort basis.
Vertical Farming Directory is not liable for:
- Lack of traffic or leads
- Business outcomes
- Indirect or consequential damages
- Third-party website performance
Nothing in these Terms shall limit or exclude liability for intent, gross negligence, or injury to life, body, or health as required by German statutory law.
9. Service Availability
Vertical Farming Directory aims to provide reliable and continuous access to its services. However, uninterrupted availability cannot be guaranteed.
Temporary interruptions, delays, or limitations of functionality may occur due to, but not limited to:
- Scheduled maintenance
- System upgrades
- Technical failures
- Security updates
- Third-party service disruptions
- Internet connectivity issues
- Force majeure events
Such interruptions do not constitute a service failure and do not entitle the customer to refunds, credits, or compensation unless explicitly agreed otherwise.
The operator reserves the right to modify, suspend, or discontinue parts of the service where reasonably necessary for operational, technical, or security reasons.
10. Governing Law and Jurisdiction
These Terms and any contractual relationship between the customer and Vertical Farming Directory shall be governed exclusively by the laws of the Federal Republic of Germany.
If the customer is a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction shall be the registered place of business of the operator.
11. Acceptance of Terms
By registering an account, purchasing a subscription, making a one-time payment, downloading digital content, accepting an invoice, or otherwise using the services, the customer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
Acceptance of these Terms constitutes a legally binding agreement between the customer and the operator.
If the customer enters into an agreement on behalf of a company or organization, the customer confirms that they are authorized to bind that entity to these Terms.
12. Changes to Terms
Vertical Farming Directory reserves the right to amend or update these Terms and Conditions at any time to reflect changes in services, legal requirements, business practices, or technical developments.
Updated Terms will be published on the website and become effective upon publication unless otherwise stated.
For active subscriptions, the Terms in effect at the time of renewal shall apply to the next billing period.
Continued use of the services after updated Terms have been published constitutes acceptance of the revised Terms.
If the customer does not agree to the updated Terms, the customer may cancel the subscription in accordance with the cancellation policy prior to the next renewal date.
13. No Refund Policy
Unless explicitly stated otherwise, all payments are non-refundable.
This applies in particular to subscription fees, activation fees, and any services that have been made available or delivered.
Failure to use the service does not constitute grounds for a refund.
14. Suspension and Termination Rights
Vertical Farming Directory reserves the right to suspend, limit, or terminate access to services in cases of:
- Non-payment or overdue invoices
- Breach of these Terms
- Misuse of the platform
- Illegal or harmful activities
- Providing false or misleading information
Suspension of services does not release the customer from payment obligations.
15. Entire Agreement
These Terms constitute the entire agreement between the customer and Vertical Farming Directory regarding the use of the services and supersede all prior agreements, communications, or understandings, whether written or oral.
16. Force Majeure
Vertical Farming Directory shall not be liable for failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, power outages, internet failures, or governmental actions.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
